Contributor Terms & Conditions

These Contributor Terms & Conditions ("Contributor Terms") apply when you apply to, onboard with, or perform work for Harbor ("Harbor") as a contributor, annotator, reviewer, evaluator, or domain expert (a "Contributor").

They supplement the Terms of Service and should be read with the Contributor Privacy Notice. If there is a conflict for contributor program activities, these Contributor Terms control.

1. Independent contractor status

• You are an independent contractor, not an employee, agent, partner, or joint venturer of Harbor
• Nothing in these Contributor Terms creates an employment relationship
• You are responsible for your own taxes, benefits, insurance, equipment (unless Harbor provides specific tools for a program), and legal compliance in your jurisdiction
• You may not bind Harbor or represent yourself as a Harbor employee

2. Eligibility

You represent that you:

• Are at least 18 years old
• Have legal capacity and authorisation to work as an independent contractor from your location
• Will provide accurate identity, tax, and banking information when required for payouts
• Will complete required vetting, training, and compliance steps for each program

Harbor may accept, defer, or decline applications at its discretion and may limit programs by region, skill, device capability, or client requirements.

3. Program participation

• Program scopes, rubrics, devices, timelines, and pay rates are defined per program or task brief
• Harbor may modify, pause, or end programs; unfinished work may be reassigned
• Quality standards, acceptance criteria, and revision requests are part of the engagement
• You must follow safety, privacy, recording, and on-site rules for any field or workplace capture

4. Work product and licenses

"Work Product" includes video, audio, sensor streams, annotations, labels, evaluations, transcripts, metadata, questionnaires, and related materials you submit.

• You represent that you have all rights needed to grant the licenses below, including consents from people who appear in recordings where required
• You grant Harbor and authorised clients a worldwide, perpetual, irrevocable, royalty-free, transferable, sublicensable license to use, reproduce, modify, distribute, display, and create derivative works from Work Product for training, evaluating, improving, and commercialising AI and related systems, and for operating Harbor's Services
• Where a program brief states that ownership of deliverables transfers to Harbor or a named client, you assign all right, title, and interest in that Work Product as described in the brief
• You waive moral rights to the extent permitted by law

5. Compensation

• Compensation is as stated in the program brief, dashboard, or written offer
• Payment is typically contingent on accepted Work Product meeting quality criteria
• Harbor may withhold, adjust, or claw back payments for fraud, policy violations, or rejected work
• Currency, payout method, and schedule are determined by Harbor and its payment providers

6. Confidentiality and client materials

You must keep confidential all non-public program materials, client names (unless expressly permitted), rubrics, credentials, tooling, and data. You may not post, publish, or disclose Work Product or program details without Harbor's written permission.

7. Conduct and prohibited activities

• No fabricated, recycled, or out-of-scope submissions
• No sharing accounts or allowing others to perform your assigned tasks without approval
• No harassment, discrimination, or unsafe behaviour on programs or communications channels
• No reverse engineering of Harbor or client systems beyond authorised use
• No solicitation of Harbor clients for competing work using confidential information

8. Devices and safety

Where you use personal or Harbor-provided devices for capture, you must follow device care, charging, firmware, and return instructions. You are responsible for safe operation in your environment and for complying with workplace rules when capturing on third-party premises.

9. Term and termination

Either party may end participation at any time. Harbor may suspend or remove Contributors for quality failures, inactivity, policy violations, or client requirements. Surviving obligations include licenses already granted, confidentiality, payment reconciliation, and sections that by nature should survive.

10. Liability

To the maximum extent permitted by law, Harbor's liability under these Contributor Terms is limited as described in the Terms of Service. You remain responsible for claims arising from your Work Product, misrepresentations, or failure to obtain required consents.

11. Governing law

These Contributor Terms are governed by the laws of England and Wales.
